STATUS ASSOCIATION
Legal form and registered office
Section 1
The DATHARANY.org association is a non-profit association governed by the present statutes and subsidiarily by articles 60 and following of the Swiss Civil Code. It is politically neutral and denominationally independent.
Section 2
The headquarters of the association is located in the Canton of Vaud in Lausanne.
Section 3
The duration of the association is indefinite.
Goals
Section 4
The association aims to support all cultural or humanitarian projects that the committee, or that a member of the association has proposed and accepted by the General Assembly.
Currently, the association pursues the following goal(s):
Promote cultural exchanges.
Promote the study of French and English in Laos.
Preserve historical and cultural heritage.
Members
Section 5
All persons who have been accepted as such by the Executive Committee of the association can become members of the association.
The Executive Committee maintains the list of members.
The General Assembly may decide to suspend or withdraw the status of member of one or more persons for just cause, in particular if the person or persons concerned have harmed the association.
Each member can leave the association at any time by informing the Executive Committee of their decision.
The association is made up of:

Organs and Procedure:
Section 6
The bodies of the association are: the General Assembly, the Executive Committee and the Auditors.
Section 7
The General Assembly is the supreme body of the association. It brings together all the members of the association and makes the important decisions. It is competent in particular for:
Amendment of the statutes;
Appointment of the members of the Executive Council and the Auditor;
Vote the discharge of the committee;
Adopt the by-law;
Etc.
Section 8
The General Assembly meets at least once a year in ordinary session.
The General Assembly is convened by order of the Executive Committee or by one fifth of the members of the association.
Notices are sent by electronic mail (e-mail), failing which by post, at least 20 days before the date of the General Meeting.
Any proposal to be submitted to the General Assembly must reach the Committee in writing at least 10 days in advance.
Section 9
Each member has one vote.
The decisions of the General Assembly relating to the dissolution or the modification of the statutes are taken by a two-thirds majority. Other decisions are taken by simple majority. In the event of a tie, the chairman’s vote is decisive.
Section 10
The administration of the association is entrusted to an Executive Committee which manages the assets and the projects of the association.
Section 11
The Executive Committee is made up of at least 3 members of the association, including at least a president, a treasurer or a secretary. The Executive Committee is re-elected at each Ordinary General Assembly.
Section 12
The Committee makes all the decisions necessary for the proper functioning of the association. In particular, it assumes the following responsibilities:
Represent the association vis-à-vis third parties;
Direct its activity;
Manage the association’s budget and resources;
Pass and sign contracts and other acts in the name of the association;
Convene and chair general meetings;
Delegate certain tasks to third parties;
Etc.
Section 13
The decisions of the Executive Committee are taken by simple majority.
Section 14
The Executive Committee represents the association vis-à-vis third parties.
The members of the Executive Committee commit the association by the collective signature of two, including that of the President or the Vice-President.
Resources and Accountability
Section 15
The association’s resources include:
Membership fees;
Donations and legacies;
Income from activities organized by the association;
Private or official subsidies.
Section 16
The amount of the contributions is set by the General Assembly.
Section 17
The members of the association are not personally liable for social debts which are only guaranteed by the social assets of the association.
Dissolution
Section 18
The dissolution of the association can be decided by the general assembly.
In the event of dissolution, the assets of the organization, once the accounts have been closed, will be given to an organization pursuing a similar goal or a humanitarian foundation.
